OUTLINE
These Terms and Conditions must be accepted by the client in writing before the work commences.
MS Productions provide the following Services: Filmmaking and Videography (1); SUAV (Drone) work (2) in the form of Inspections, Cinematography, Surveying, 3D Modelling; Design (3) in the form of Web Design, Animation, Motion Design, Print Design, Illustrations; Photography (4) ranging across multiple genres as listed on our Services > Photography Page.
You agree that by using our Services (1–4), you have read, understood, and agree to all of these Terms and Conditions.

QUOTES
Clients will provide MS Productions with a clear outline of the work they want conducting. Quotes will subsequently be sent to clients prior to both parties agreeing to the work.
If the clients’ outline and specifications change and/or if extra time/details are added once the work has commenced, the initial quote is subject to increase.
Alternatively, an agreed quote can change and be reduced if the required work takes less time to complete than initially agreed due to the clients’ outline and specifications changing.

RATES
Our rates are based on a complete day of working. Our full day is classed as 8 hours.
If a client requires changes/alterations after we have delivered a completed project, we shall charge 25% of our day rate for every 2-hours spent on changes/alterations, such as amendments to a video edit.
If the work is to be conducted abroad, we may require additional time to complete the planning, which would increase the cost.

PAYMENT
Invoices will be issued to clients once our Service has been completed.
Payments are to be paid within 30 days of the invoice being issued.
If the invoice is not paid within 30 days, we hold the right to charge an additional 5% per week for the total cost of the invoice, unless agreed otherwise.
All payments are to be made by bank transfer.

EXPENSES
We charge 45p per mile for travel expenses by car.
Accommodation and other expenses, if applicable, will be agreed in advance by both parties.
Post-production expenses, such as licenses for the inclusion of music, will be agreed in advance by both parties.
It is sometimes necessary to acquire permissions from the CAA (Civil Aviation Authority) when conducting SUAV (Drone) work (2). This may incur additional costs depending on the location and the permission required. These will be discussed with the client once project details and specifications have been outlined.
Expenses will be added to the invoice.

CANCELLATION
A booking is considered firm as from the date of confirmation and accordingly we will, at our discretion, charge a fee for cancellation or postponement to any of our Services (1–4) and the fee will be invoiced after cancellation.
Cancellation within:
- 5 working days – 25% of fee
- 3-4 working days – 50% of fee
- 48 hours – 75% of fee
- 24 hours or less – 100% of fee
If the work is affected by the weather, such as SUAV (Drone) work (2), which is entirely reliant on the weather, we will seek to reschedule the work to an alternate date and no cancellation fee will be incurred.
If the work is no longer required after postponement due to the weather, the above cancellation rates apply.

PERMISSIONS
It is our responsibility and the client’s responsibility to ensure that all the necessary clearances and permissions have been obtained to allow the Services (SUAV (Drone) work (2)) to be undertaken on location without hindrance or infringements of trademarks or copyrights.
It is the client’s responsibility to ensure that all the necessary clearances have been obtained to allow the Services (Filming and Videography (1), Photography (4)) to be undertaken on location without hindrance or infringements of trademarks or copyrights.
We have the right to acquire, with the assistance of the client, written consent from persons who are filmed, interviewed and/or photographed.
It is the client’s responsibility to gain written parental permission when persons under the age of eighteen years are to be filmed, interviewed and/or photographed.

COPYRIGHT
MS Productions retains the copyright to all content we produce through our Services (1–4), unless agreed otherwise through a contract prior to commencing the work.
All clients who use our Services (1–4) get complete use to all of the content we provide them.
However, clients are not permitted to re-sell the content we provide them or allow 3rd parties to use the content, unless agreed upon beforehand through written consent from ourselves, MS Productions.
We hold the right to reserve any of the content we create for clients until the invoice has been paid. If the client requires the content prior to payment, we will require, in writing, a specified date of when the invoice will be paid.
MS Productions reserve the right to use any media content we create for our own promotion such as showreels, website content etc. unless agreed otherwise by both parties through a written agreement.
Our copyrighted content includes:
- Film/video footage taken using our ground camera equipment
- Audio content and recorded sounds using our audio equipment
- All photographs taken using our photography equipment
- Footage/images taken using our SUAV’s (Drones)
- Printed designs: Brochures; Newsletters; Leaflets; Flyers; Posters; Business Cards
- Graphics, illustrations and titles
- Animated content
- Pre-production documents: Scripts; Schedules; Plans; Budgets; Shot Lists; Recce Notes

CONFIDENTIAL
Rest assured we will keep confidential and will not disclose to any 3rd parties or make use of material or information communicated to us in confidence in relation to all commissions we undertake. If required, MS Productions will be happy to sign a non-disclosure agreement prior to discussing work details with a client.
